Ellie Kang Joins Foley Hoag as Counsel

Ellie Kang has joined Foley Hoag LLP as counsel in the Business Department, where she will focus her practice on all aspects of executive compensation and employee benefit matters arising in mergers and acquisitions, representing private equity investors, public and private companies, and financial institutions, both as buyers and sellers. She is resident in the firm’s New York office.

Kang has considerable experience with executive compensation and employee benefit due diligence; negotiation of benefit and compensation-related representations, warranties, covenants and other related provisions in transaction agreements; structuring of equity compensation arrangements; 280G “golden parachute” analysis and shareholder approval documentation; and post-closing integration and redesign of employee benefit and compensation programs.

Kang also advises clients on all ERISA and employee benefit matters; executive compensation disclosure matters; 409A and 457A non-qualified deferred compensation compliance; and retirement and welfare benefit plan design and compliance.

Prior to joining Foley Hoag, Kang was at Dechert LLP in New York. She earned a Bachelor of Arts degree from Bryn Mawr College, a Juris Doctorate from Benjamin N. Cardozo School of Law, and a Master of Laws in Taxation, as well as a Certificate in Employee Benefits, from Georgetown University Law Center.
